SEBI Special Window for Physical Share Transfers: Open Until 4 February 2027

If you bought shares in physical form years ago and the transfer into your name was never completed, there is a limited period in which it can still be done. SEBI has opened a special window for transfer deeds executed before 1 April 2019. It closes on 4 February 2027. Why this window matters

Transfers of physical shares have been barred since 1 April 2019. Anyone holding share certificates with a signed transfer deed from before that date, but whose name was never entered in the company's register, has had no route to complete the purchase. The special window is that route, for a limited time.

  • Cases where the transfer was lodged earlier and returned or rejected for a deficiency.
  • Cases where the deed was never lodged at all.
  • Legal heirs of a buyer who has since died, once heirship is established.

  • Transfer deeds executed on or after 1 April 2019.
  • Cases with a dispute over ownership.
  • Shares already transferred to the IEPF, which follow the IEPF claim route.

How the process runs, in broad stages

  1. Eligibility check. The date of the deed, the certificates held and the company's present status are confirmed.
  2. Company and registrar. The company may have merged, been renamed or changed its registrar; the current registrar is identified.
  3. Documents. The request is prepared with the certificates, the deed, proof of purchase, KYC, demat account details and the undertaking the registrar requires.
  4. Lodgement and follow-up. The request is lodged and queries are answered until the shares are credited to your demat account.

What is the SEBI special window for physical shares?

It is a one-year period, from 5 February 2026 to 4 February 2027, in which transfer requests for physical shares can be lodged where the transfer deed was executed before 1 April 2019. It was opened by a SEBI circular dated 30 January 2026.

Can I lodge a transfer deed that was rejected years ago?

Yes, if the deed was executed before 1 April 2019 and you still hold the original certificates. Requests that were earlier returned or rejected for a deficiency can be lodged again with the deficiency corrected.

Will I receive physical certificates in my name?

No. Shares transferred under the window are credited in demat form only, so you need a demat account in your own name. They carry a one-year lock-in from the date of transfer.

The seller has died or cannot be found. Can the transfer still go through?

The framework provides for cases where the seller cannot be traced, through a public notice and an objection period. Whether your case qualifies depends on the papers you hold, which is the first thing we check.

My shares have gone to IEPF. Does the window help?

No. Shares already transferred to the IEPF are outside the window and are claimed from the IEPF Authority instead. See IEPF claim services.

What happens after 4 February 2027?

The window closes on that date under the circular. Requests should be lodged, complete, well before it. If you hold old transfer deeds, have them reviewed now.
